Most guidance on MBRS assumes you already have an established company with a company secretary who knows the drill. This one is for a newly incorporated company figuring it out from scratch.
The first-year timeline
The moment your company is incorporated, two separate clocks start running — and neither waits for you to feel ready:
- Your Annual Return obligation begins counting from your incorporation date, regardless of when your company actually starts trading.
- Your Financial Statement obligation begins counting from the end of your first financial year, which you (or your company secretary) set when the company was formed.

What to sort out on day one
- Confirm who your company secretary is, and whether they already have MBRS/mPortal access set up, or whether this needs to be arranged. See our mPortal registration guide if starting from scratch.
- Decide which reporting standard applies — Malaysian Private Entity Reporting Standards (MPERS) applies to most new private companies; Malaysian Financial Reporting Standards (MFRS) applies to public companies. Getting this right early avoids re-work later.
- Note your incorporation anniversary date somewhere separate from your financial year end — ideally in whatever calendar or reminder system the company already uses.

The most common first-filing mistakes
